Terms of Service

These terms form an agreement between you and Yalafleet Freight Broker LLC ("we", "us") and govern your use of the Yalafleet customs-documentation service at https://app.yalafleet.com. By creating an account or using the service you accept them.
1. The service
Yalafleet helps shippers and forwarders prepare customs paperwork — commercial invoices, packing lists and the reference records behind them — and export it as documents. We provide it on a software-as-a-service basis and may change, add or withdraw features as the product develops.
2. Your account
- You must be at least 16 and able to enter a binding contract.
- Give accurate registration details and keep them current.
- Keep your credentials confidential. You are responsible for everything done through your account, and must tell us promptly at support@yalafleet.com if you suspect unauthorised access.
- One account per person — do not share logins across people.
3. Workspaces and team members
Accounts operate inside a workspace. Whoever owns or administers a workspace controls its membership and content: they can invite and remove members, change roles, and access, modify or delete anything in the workspace, including records you created. If your employer or client owns the workspace, they — not you — decide what happens to that content, and they are the controller of any personal data it contains.
4. Your content
You keep ownership of everything you put into the service. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit and display that content strictly to the extent needed to run the service for you, to keep backups, and to support you. The licence ends when you delete the content or close your account, save for residual copies in backups that expire on their normal cycle.
You warrant that you have the rights to the content you upload — including logos, signatures and any personal data about third parties — and that using it in the service breaks no law and no one else's rights.
5. Customs and compliance — no professional advice
This is important. Yalafleet is a document-preparation tool. The documents it produces are drafts built from the data you supply, including any classification codes, valuations, origins and descriptions the service suggests. Suggestions are aids, not determinations.
- We do not provide customs, legal, tax or trade-compliance advice, and nothing in the service constitutes such advice.
- You remain solely responsible for the accuracy, completeness and lawfulness of every declaration you make to any customs authority or counterparty, and for reviewing every document before you use or submit it.
- You are responsible for complying with export controls and sanctions applicable to your shipments.
6. Acceptable use
You agree not to:
- use the service unlawfully, or to prepare documents you know to be false or misleading;
- upload malware, or content that is infringing, defamatory or unlawful;
- probe, scan, overload or circumvent the service's security, rate limits or access controls, or try to reach data belonging to another workspace;
- reverse-engineer, decompile or scrape the service, or resell or provide it to third parties except as expressly permitted;
- use the service to build a competing product.
7. Fees
Some plans and features are paid. Where they are, the price, billing period and renewal terms are shown before you subscribe, fees are charged in advance through our payment processor, and subscriptions renew automatically until cancelled. Cancelling stops the next renewal; unless the law says otherwise, fees already paid are not refundable. We may change prices with at least 30 days' notice, effective at your next renewal.
8. Availability and changes
We aim to keep the service available but do not guarantee uninterrupted access; maintenance, upgrades and events beyond our control will cause downtime. Features marked beta or experimental are provided for evaluation, may change or disappear, and should not be relied on for production work.
9. Suspension and termination
You may stop using the service and close your account at any time. We may suspend or terminate access if you materially breach these terms, if your use puts the service or other customers at risk, or if we are legally required to. Where it is reasonable to do so we will warn you first and give you a chance to fix the problem. After termination you have 30 days to export your content, after which we may delete it in line with the Privacy Policy.
10. Third-party services
The service integrates with third parties — Google sign-in, email delivery, payment processing and cloud hosting among them. Your use of those services is governed by their own terms, and we are not responsible for them.
11. Disclaimers
To the fullest extent the law allows, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be error-free or that its output will be accepted by any customs authority. Nothing here excludes liability that cannot lawfully be excluded, and consumers keep their statutory rights.
12. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential loss, nor for lost profits, revenue, goodwill or data, nor for customs penalties, fines, duties, demurrage or shipment delays arising from documents prepared with the service. Our total liability arising out of or relating to the service in any 12-month period is limited to the greater of the fees you paid us in that period or USD 100. We do not exclude liability for death or personal injury caused by negligence, or for fraud.
13. Indemnity
You will indemnify us against claims, losses and reasonable costs arising from your content, your use of the service in breach of these terms, or your breach of law.
14. Changes to these terms
We may update these terms. The "last updated" date at the top reflects the current version, and we will give account holders reasonable notice by email before a material change takes effect. Continuing to use the service after that date means you accept the new terms.
15. General
These terms, together with the Privacy Policy, are the whole agreement between us about the service. If a provision is unenforceable the rest stands. Our not enforcing a right is not a waiver of it. You may not assign this agreement without our consent; we may assign it to a successor to our business. These terms are governed by the laws of the State of the United States in which Yalafleet Freight Broker LLC is organised, without regard to its conflict-of-laws rules, and the courts of that State have exclusive jurisdiction over disputes — without affecting any mandatory protection you have as a consumer where you live.
